TDC Services Trading Terms and Conditions

Effective date: 9 March 2026

These Trading Terms & Conditions apply to all services provided by TDC Services, being the business name of A.P. Durey & L.R. Durey trading as TD Consultancy Services (ABN 11 878 392 592), unless otherwise agreed in writing.

By accepting a quote, proposal, or Statement of Work issued by TDC Services, the client agrees to these Trading Terms & Conditions.

  1. Services and Fees

    1. TDC Services will provide consulting and professional services as described in the applicable quote, proposal, or Statement of Work.
    2. Services are charged at the agreed hourly or daily rates unless otherwise stated.
    3. All fees are exclusive of GST, which will be added where applicable.

  2. Travel and Expenses

    1. Metropolitan Travel

      1. Travel within the Perth metropolitan area is included in professional fees unless otherwise stated in the applicable quote or proposal.
    2.  Regional Travel

      1. For the purposes of these Trading Terms & Conditions, a regional location means any location outside the Perth metropolitan area, including interstate locations.
      2. Where services are required at a regional location ("Regional Travel"), the following will apply:
      3. • Travel Time

        1. Time spent travelling to and from regional locations, including flying time, will be charged at 50% of the agreed hourly rate, unless otherwise agreed in writing.
      4. • Travel and Living Expenses

        1. All reasonable out‑of‑pocket expenses incurred in connection with Regional Travel will be charged at cost plus 5%. This may include airfares, hire car or other ground transport, accommodation, and meals incurred while travelling or working in regional locations.
        2. Travel arrangements will be made on a reasonable and cost‑effective basis having regard to the nature and timing of the engagement.
        3. Supporting receipts or reasonable records for expenses will be provided upon request.
      5. Minimum Regional Day Charge

        1. Where services are provided at a regional location, a minimum charge equivalent to one full day at the agreed daily rate will apply for each day that TDC Services personnel are required to be onsite at a regional location, regardless of the actual hours worked on that day, unless otherwise agreed in writing.

  3.  Invoicing and Payment

    1. Invoices will be issued monthly, or as otherwise agreed in writing.
    2. Payment terms are 14 days from invoice date, unless otherwise stated.
    3. TDC Services reserves the right to suspend services if invoices remain unpaid beyond agreed payment terms.

  4.  Variations

    1. Any variation to the scope, timing, or location of services may result in an adjustment to fees, travel charges, or expenses.
    2. Variations will be discussed and agreed prior to the additional work being undertaken where practicable.

  5.  Confidentiality

    1. Each party must keep confidential any information received from the other party that is reasonably regarded as confidential and must not disclose such information except as required by law or with prior written consent.

  6.  Intellectual Property

    1. All intellectual property created by TDC Services in the course of providing the services remains the property of TDC Services unless otherwise agreed in writing.
    2. Upon full payment of all fees, the client is granted a non‑exclusive licence to use deliverables created for its internal business purposes.

  7.  Limitation of Liability

    1. To the maximum extent permitted by law, TDC Services’ liability arising out of or in connection with the services is limited to the fees paid for the services giving rise to the claim.
    2. TDC Services is not liable for any indirect, consequential, or loss of profit damages.
  8. Governing Law

    1. These Trading Terms & Conditions are governed by the laws of Western Australia, and the parties submit to the exclusive jurisdiction of the courts of that State.
